Lohe ja aarded – Terms and Conditions of Sale
(General Terms of Commission Sale)
These general terms govern the commission sale service (“Services”) provided by Ringlusõõm OÜ (hereinafter the “Store” or Lohe ja aarded) to customers who submit their goods for sale. Upon handing over the goods, a commission agreement between the Seller and the Store is deemed to be concluded in accordance with these terms.
1. Scope of the Commission
1.1. By handing over the goods, the Seller assigns the Store the task to:

sort the submitted items,
-
assess which items are, in the Store’s opinion, suitable for sale,
-
donate items that are not suitable for sale or return on spot
1.2. The Store sells the items in its own name but on the Seller’s account, on the basis of a commission agreement.
1.3. The Store pays the Seller a commission fee in accordance with the terms set out below.
2. Condition and Handover of Items
2.1. The Seller confirms that the submitted items are:

undamaged,
-
clean,
-
in working order,
-
usable without additional repair.
2.2. The Store does not accept broken, dirty, or cleaning-requiring items. We do not sell products of the Shein brand.
2.3. The Store makes an initial selection after receiving the items. The Seller agrees that the Store independently decides which items are suitable for sale and which are not.
3. Creation of a Customer Account and Registration of Goods
3.1. Upon the first handover of goods, a customer account is created for the Seller, where the Store registers the Seller’s name, email address, bank account number, and contact details.
3.2. For each item, the sales price, the Store’s commission, and the Seller’s share are registered.
4. Sorting, Pricing, and Sale
4.1. The Store evaluates items based on:

condition,
-
quality,
-
market value,
-
seasonality,
-
demand.
4.2. The Store sets the sales price at its own discretion and may change pricing as necessary (e.g., discounts at the end of a season).
4.3. The Seller agrees that the Store makes sales decisions without separate coordination with the Seller.
4.4. No payment is issued and no registration is made for small items such as socks, mittens, books, hats.
5. Sales Period
5.1. Once the items are registered in the customer account, a 2-month sales period begins.
5.2. Items that are not sold by the end of the period may be donated to charity by the Store.
5.3. Items become donation goods after the end of the sales period and are not returned to the Seller.
6. Commission Fee and Seller’s Proceeds
6.1. The Store charges a commission from the sales price as follows:

70% of the sales price (standard condition),
-
50% of the sales price if the Seller and the Store enter into a separate agreement.
6.2. The Seller receives the remaining portion of the sales price.
6.3. The Seller’s proceeds are credited to the customer account. This amount can be used as store credit at Lohe ja aarded. Funds are credited every two months if the amount exceeds €10, or when the last item has been sold or utilized.
6.4. Seller credit is valid for 6 months after the last active activity (bringing goods or using credit).
7. Ownership and Special Cases
7.1. Ownership of the items transfers from the Store to the buyer at the moment of sale.
7.2. Ownership of the items transfers from the Store to the donation recipient at the moment the items are handed over to a charitable organization.
7.3. If an item requires additional work by the Store to be suitable for sale (e.g., washing, stain removal, repair, adding parts), the Store has the right to decide that the sales value does not cover the required work. In such cases, the Store may discard the item, sell it, or donate it without compensating the Seller.
8. Termination of the Agreement
8.1. The commission agreement enters into force upon the handover of items to the Store.
8.2. The agreement automatically terminates if:

6 months have passed since the Seller’s last activity, or
-
the Seller has received the final payout or used the credit within 6 months.
